Terms of Service

1. The service

Traciqo provides a software-as-a-service platform for product authentication, dynamic and static QR codes, digital warranty management, lead capture, and customer feedback. Features available to you depend on your subscription plan. We may add, change, or remove features over time.

2. Accounts & eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for safeguarding your login credentials, API keys, and API secrets, and for all activity under your account.
• You must be capable of forming a binding contract and use Traciqo for lawful business purposes only.
• Each business customer is provisioned an isolated workspace. You must not attempt to access another tenant's workspace or data.

3. Subscriptions & billing

• Paid plans are billed in advance on a monthly or annual cycle through our payment provider, Stripe.
• Plans include usage limits (for example, maximum products, warranties, QR codes, scans, and users). Usage beyond your plan limits may incur overage charges at the rates defined for your plan.
• Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
• Subscriptions renew automatically unless cancelled before the renewal date. You can manage or cancel your subscription through your billing portal.
• Except where required by law, fees already paid are non-refundable.

4. Trials & suspension

We may offer a free trial period. At the end of a trial, if no paid plan is active, your workspace may be suspended. Suspended workspaces retain their data for a limited grace period before deletion, and you will be notified before any irreversible action. We may suspend or limit access for non-payment, suspected abuse, or security reasons.

5. Your data & ownership

• As between you and Traciqo, you own the data you and your end users submit to your workspace ("Customer Data").
• For Customer Data containing personal data, you are the data controller and Traciqo is your processor. Our processing is described in the Privacy Policy and, where applicable, a Data Processing Agreement. You are responsible for having a lawful basis to collect and process the data you put into Traciqo and for providing any required notices to your end users.
• You grant us the limited rights necessary to host, process, and transmit Customer Data to provide the service.
• You can export or request deletion of your data as described in the Privacy Policy.

6. Acceptable use

You agree not to:

• Use Traciqo to facilitate counterfeiting, fraud, or any unlawful activity.
• Upload unlawful, infringing, or harmful content, or personal data you are not authorised to process.
• Attempt to breach security, access other tenants' data, reverse engineer, or disrupt the platform.
• Send spam or unsolicited messages using the platform's email/messaging features.
• Exceed, circumvent, or abuse plan limits or rate limits, or resell the service without authorisation.

7. API & integrations

API access depends on your plan. You must keep API keys and secrets confidential and secure any webhook endpoints you configure. Webhook payloads are signed; you are responsible for verifying signatures. We may apply rate limits and may revoke credentials that are abused or compromised.

8. Availability

We aim to keep Traciqo available and reliable but do not guarantee uninterrupted or error-free operation unless a separate written service-level agreement applies. We may perform maintenance and will endeavour to minimise disruption.

9. Intellectual property

Traciqo, including its software, design, and trademarks, is owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the platform for your business during your subscription. You retain ownership of your own brand assets and Customer Data.

10. Disclaimers

Except as expressly stated, the platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Authentication and anomaly-detection signals are decision-support tools and do not constitute a legal guarantee of authenticity.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to the service will not exceed the amount you paid to Traciqo in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold Traciqo harmless from claims arising out of your Customer Data, your use of the platform in breach of these Terms, or your violation of applicable law or third-party rights.

13. Termination

You may cancel at any time through your billing portal. We may suspend or terminate access for material breach, non-payment, or unlawful use. On termination, your right to use the platform ends and your data is handled as described in the Privacy Policy and section 4.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local consumer law provides otherwise. (This section will be confirmed once Traciqo's UK incorporation is complete.)

15. Changes

We may update these Terms from time to time. Material changes will be notified to account holders or posted with an updated "Last updated" date. Continued use after changes take effect constitutes acceptance.
